These Terms of Service govern your access to and use of Legalpedia Connect, AI Counsel, our websites, applications, AI-powered tools, legal research platforms, document tools, subscriptions and related services.

By accessing or using our services, you agree to these Terms. If you do not agree, you should not use the services.

  1. About Our Services

Legalpedia Connect and AI Counsel provide legal technology services, including legal research, case law access, statutory materials, document support, legal productivity tools, AI-assisted drafting, AI-assisted legal analysis, summarisation and related digital services.

Our services are designed to support legal research, legal work, document review, knowledge management and professional productivity.

  1. No Lawyer-Client Relationship

Use of Legalpedia Connect, AI Counsel or any AI-assisted feature does not create a lawyer-client, solicitor-client, advocate-client or fiduciary relationship between you and Legalpedia Ai & Tech Services Ltd.

Unless expressly agreed in a separate written engagement, we are not acting as your lawyer, legal adviser or counsel.

AI Counsel provides legal information, research assistance and productivity support. It does not replace advice from a qualified legal practitioner.

  1. No Guarantee of Legal Accuracy

We work to provide useful, reliable and high-quality legal information. However, legal materials, AI-generated content, summaries, citations, extracts, analysis and search results may contain errors, omissions, outdated information, incomplete reasoning or incorrect references.

You are responsible for verifying:

  1. Case citations. 
  2. Statutory provisions. 
  3. Court rules. 
  4. Procedural requirements. 
  5. Legal conclusions. 
  6. Jurisdiction-specific rules. 
  7. Filing deadlines. 
  8. Any AI-generated output before relying on it. 

You should not rely solely on AI-generated content for legal advice, court filings, legal opinions, client advice or professional decisions.

  1. User Accounts

To access certain services, you may need to create an account. You agree to provide accurate, current and complete information.

You are responsible for:

  1. Keeping your login details confidential. 
  2. All activities carried out under your account. 
  3. Promptly notifying us of unauthorised access or suspected compromise. 
  4. Ensuring that all users under your organisation’s subscription comply with these Terms. 

We may suspend or terminate accounts that breach these Terms, misuse the platform or pose a security risk.

  1. Subscriptions, Payments and Renewals

Some services may require paid subscription, licensing, enterprise access or usage-based payment.

Where applicable:

  1. Fees, billing cycles and payment terms will be stated at checkout, in an invoice, proposal, order form or separate agreement. 
  2. Subscription access may be suspended if payment is not made when due. 
  3. Fees are non-refundable unless otherwise stated in writing. 
  4. We may change pricing, plans or features by giving reasonable notice where required. 
  5. Taxes, bank charges, payment processing fees or foreign exchange costs may apply. 

Enterprise customers may be subject to separate written agreements. Where a separate agreement conflicts with these Terms, the separate agreement will prevail to the extent of the conflict.

  1. Permitted Use

You may use the services for lawful legal research, professional, academic, organisational or personal productivity purposes.

You must not:

  1. Use the services for illegal, fraudulent, harmful or abusive purposes. 
  2. Attempt to hack, disrupt, reverse engineer or compromise the platform. 
  3. Scrape, copy, bulk download or extract content except as expressly permitted. 
  4. Resell, sublicense, reproduce or commercially exploit our content without permission. 
  5. Upload malware, harmful code or unlawful material. 
  6. Use the services to generate misleading, defamatory, infringing or unlawful content. 
  7. Misrepresent AI-generated content as independently verified legal advice. 
  8. Use another person’s account without permission. 
  9. Interfere with platform security, access controls or usage limits. 
  1. Professional Responsibility

If you are a lawyer, law firm, legal department, student, researcher or legal professional, you remain responsible for complying with all professional duties applicable to you.

This includes duties relating to confidentiality, privilege, competence, supervision, client instructions, conflicts of interest, court obligations, data protection and responsible use of technology.

You should not upload client-confidential, privileged or sensitive materials unless you have authority to do so and have assessed the risks.

  1. User Content

“User Content” means prompts, documents, files, instructions, feedback, legal questions, uploaded materials and other content you submit to the services.

You retain ownership of your User Content. However, you grant us a limited right to process, host, transmit, store, analyse and display User Content as necessary to provide, secure, maintain and improve the services.

You confirm that you have the right to upload and process any User Content you submit.

You are responsible for ensuring that your User Content does not violate any law, contract, confidentiality obligation, intellectual property right, privacy right or professional duty.

  1. Our Content and Intellectual Property

All rights in our platforms, software, databases, designs, logos, trademarks, legal content compilations, summaries, taxonomies, workflows, interfaces, AI configurations and proprietary materials belong to Legalpedia Ai & Tech Services Ltd or our licensors.

You may not copy, reproduce, distribute, modify, sell, lease, publish, train competing systems with, or create derivative works from our content unless expressly permitted by us in writing.

Access to the platform does not transfer ownership of any intellectual property rights to you.

  1. AI-Generated Outputs

Subject to these Terms and applicable law, you may use AI-generated outputs produced through your lawful use of AI Counsel. However:

  1. We do not guarantee that outputs are accurate, complete, current or suitable for your purpose. 
  2. Similar or identical outputs may be generated for other users. 
  3. You are responsible for reviewing and verifying outputs before use. 
  4. AI outputs should not be treated as final legal advice. 
  5. You must not use AI outputs in a way that violates law, professional ethics or third-party rights. 
  1. Third-Party Services

Our services may integrate with or rely on third-party providers, including cloud hosting, AI models, payment processors, analytics tools, communication tools and content providers.

We are not responsible for third-party services that we do not control. Your use of third-party services may be subject to their own terms and privacy policies.

  1. Availability and Changes to the Services

We aim to keep the services available and functional, but we do not guarantee uninterrupted access.

We may modify, suspend, update, replace or discontinue any part of the services for reasons including maintenance, security, legal compliance, product improvement or business needs.

We are not liable for downtime, data loss, service interruptions or feature changes except where liability cannot be excluded under applicable law.

  1. Confidentiality and Security

We take reasonable steps to protect the platform and user information. However, you acknowledge that no technology system is completely secure.

You are responsible for using secure devices, strong passwords, authorised networks and appropriate internal controls when using the services.

  1. Suspension and Termination

We may suspend or terminate access if:

  1. You breach these Terms. 
  2. Payment is overdue. 
  3. Your use creates legal, security or operational risk. 
  4. We suspect fraud, abuse or unauthorised access. 
  5. We are required to do so by law or regulatory authority. 

You may stop using the services at any time. Termination does not affect rights or obligations that arose before termination.

  1. Disclaimers

The services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of accuracy, completeness, fitness for purpose, merchantability, non-infringement, uninterrupted access and error-free operation.

We do not guarantee that legal materials, search results, AI-generated outputs or document analysis will be complete, current, accurate or suitable for any specific legal matter.

  1. Limitation of Liability

To the fullest extent permitted by law, Legalpedia Ai & Tech Services Ltd will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profit, loss of business, loss of data, loss of goodwill, professional liability, litigation loss or reputational harm arising from your use of the services.

Our total liability for any claim relating to the services shall not exceed the amount you paid to us for the relevant service in the [three/six/twelve] months before the claim arose.

This limitation does not exclude liability that cannot be excluded under applicable law.

  1. Indemnity

You agree to indemnify and hold harmless Legalpedia Ai & Tech Services Ltd, its directors, employees, contractors, partners and affiliates from claims, losses, liabilities, damages, costs and expenses arising from:

  1. Your breach of these Terms. 
  2. Your misuse of the services. 
  3. Your User Content. 
  4. Your violation of law, professional duty or third-party rights. 
  5. Your reliance on unverified AI-generated output. 
  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

Parties shall first attempt to resolve disputes amicably through good-faith negotiation.

If the dispute is not resolved, the courts of Lagos State, Nigeria Ikeja Jurisdiction shall have jurisdiction, subject to any mandatory jurisdiction of the Federal High Court or other competent court.

  1. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date.

Your continued use of the services after changes are posted means you accept the updated Terms.
